Terms of Service
These Terms of Service ("Terms") govern access to preview environments, consultations, and production systems provided by Continuity. By requesting a strategy call, exploring our platform, or engaging our team, you agree to these Terms on behalf of your organization.
1. Eligibility
Continuity serves established agencies and revenue teams that satisfy our compliance, infrastructure, and historical performance requirements. We reserve the right to decline access at our discretion to protect deliverability and maintain platform integrity.
2. Use of Services
You may only use Continuity systems for lawful outbound operations and in accordance with all applicable guidelines, anti-spam rules, and contractual obligations. You agree to follow onboarding procedures, cooperate with security reviews, and immediately report suspected misuse or compromise.
3. Fees and Billing
Engagement terms, billing schedules, and pricing are documented in your Continuity order form or license agreement. Late payments may result in suspension or termination of access. You remain responsible for taxes, duties, and third-party charges associated with your use of our infrastructure.
4. Confidentiality
Both parties agree to protect confidential information using at least the same degree of care applied to their own. You may not disclose Continuity software, architecture, tactics, or documentation to third parties without prior written consent.
5. Intellectual Property
Continuity retains all rights, title, and interest in its technology, documentation, and know-how. Access does not grant you ownership or license beyond the limited right to use the platform during an active agreement.
6. Disclaimers
Continuity provides infrastructure and strategic guidance on an "as is" basis. We do not guarantee inbox placement, conversion outcomes, or uninterrupted access. Regulatory shifts and third-party actions, including mailbox provider policies, may impact performance.
7. Limitation of Liability
To the fullest extent permitted by law, Continuity is not liable for indirect, incidental, or consequential damages that arise from your use of the platform. Aggregate liability is limited to fees paid in the twelve months preceding the claim.
8. Termination
Either party may terminate the relationship according to the governing agreement. Upon termination you must cease use of Continuity systems and delete confidential materials. Sections that logically survive termination remain in effect.
9. Governing Law
These Terms are governed by the laws of the State of South Dakota, United States of America, without regard to conflict-of-law principles. Venue and dispute resolution procedures follow the governing agreement unless the parties agree otherwise in writing.
